WHO WE ARE:

WillScot Mobile Mini Holdings Corporation (Nasdaq: WSC) was formed on July 1st 2020 through the merger of WillScot Corporation and Mobile Mini, Inc., creating the North American leader in temporary modular space and portable storage specialty leasing solutions. WillScot has since substantially consolidated the modular space market and recently solidified its leadership in the portable storage solutions market through its merger with Mobile Mini in July 2020. Mobile Mini is the largest provider of portable storage solutions in North America, which are a perfect complement to WillScot’s modular space solutions (approximately 40% customer overlap and 80% end-market overlap between the two companies). The management team has embarked upon an aggressive multi-year growth strategy focused on executing an array of commercial and operational synergies between the two companies. On a combined basis, WillScot Mobile Mini generates approximately $1.65 billion of revenue and $630 million of adjusted EBITDA annually and has over $4 billion of market capitalization.

ABOUT THE JOB:

A direct report to the Chief Financial Officer, the Director of Treasury and Investor Relations is a dynamic and visible role intended for a high-potential candidate who is capable of developing into more senior leadership roles at the company. The role requires a combination of strong individual contributions, the ability to coordinate cross-functional teams, the management of two direct reports, and the selective involvement of third-party advisors to perform the core responsibilities.

Treasury Responsibilities

Oversee administration of WSC’s $2.4 billion asset backed revolver, including daily/weekly draw and repayment activity, monthly borrowing base submissions, monitoring of covenants and baskets, quarterly and annual reporting compliance, annual third-party borrowing base appraisals, and communication with bank administrators

Direct cash management including daily visibility into cash and debt balances, rolling 13-week cash forecasting and variance analysis, monitoring operational cash inflows and coordinating operational disbursements with Accounts Payable team, optimize investment of excess funds, short term borrowing and interest rate management

Oversee cash management banking and financial institution relationships, negotiate bank and service fees, and evaluate products and services (e.g., payment service providers, purchasing cards, etc.) to improve cash cycle and simplify operations

Administer capital and financing leases to support procurement of rolling stock, machinery and equipment utilized in WSC’s field operations

Develop and implement strategies to manage interest rate and currency risk as appropriate

Manage inter-company cash, including inter-company lending, dividends, and capital movements, coordinating closely with Tax

Play “quarterback” role, coordinating internal resources and external banking and legal resources to execute long term capital markets activities, including public debt financings

Administer share repurchase program and quarterly dividend payment process as applicable

Manage treasury and related policies, controls and compliance with SOX

Work with other corporate finance functions (accounting, audit, tax, legal) to ensure accurate and timely accounting for matters related to cash, investments, debt and inter-company activity

Oversee lean staff (Treasury Manager and Senior Analyst) and engage collaboratively with other functional teams (e.g., Accounts Payable, Accounts Receivable, FP&A, Tax) as necessary

Investor Relations Responsibilities

Coordinate internal resources to organize and execute the quarterly earnings release process – lead the drafting of earnings press release, investor presentation, and conference call scripts, review and ensure consistent messaging in SEC filings and MD&A, coordinate earnings conference call logistics

Coordinate external sell-side analysts – regularly monitor and report on analyst estimates, engage directly with analysts to align estimates with guidance, schedule post-earnings follow-up calls with analysts, coordinate non-deal roadshow and investor conference participation

Manage buyside interactions including inbound investor inquiries, prioritize interactions on behalf of CEO and CFO, schedule in-house NDRs, and develop targeting methodology and proactive / regular outreach to priority accounts

Maintain IR CRM to capture interactions with buyside and sellside contacts, track investor profiles and relationships, and report and measure IR activities

Manage investor relations calendar, including investor conferences and non-deal roadshows, and involve CEO, CFO, VP Finance and other participants as appropriate

Monitor shareholder positions and activity and coordinate monthly Nasdaq surveillance and analysis of 13F and related data

Monitor third-party financial data sources (e.g., Bloomberg, FactSet, CapIQ, etc.) to ensure consistent and accurate presentation of WSC financial results

Develop and execute strategy to pursue broader inclusion in equity indices

Coordinate other third-party investor relations advisory resources as appropriate (e.g., investor perception studies)

Coordinate Investor Day periodically, organizing senior management and third-party advisors to communicate the company’s strategy, initiatives, and outlook to analysts and investors

Oversee content for the investor relations website and coordinate updates as appropriate

Coordinate WSC’s communications and engagement with rating agencies, including quarterly updates, annual forecasts, and proactive disclosure of material corporate developments

Collaborative Focus

This is a team-based role and will assist in other aspects of finance as well as help drive our Company’s Strategies and promote our Mission, Vision and Values. WSC has a highly collaborative culture and the successful candidate will work effectively with a broad group of senior executives, peers, and direct reports to perform the above responsibilities. Aside from the CFO and the position’s two direct reports, key relationships with responsibilities that intersect the treasury and investor relations functions include:

CEO – contributes to WSC’s overall strategic messaging, performs leading role in quarterly earnings calls, participates in investor conferences, non-deal roadshows, and ad hoc investor meetings, and directs WSC’s capital allocation strategy

Chief Accounting Officer – oversees WSC’s external financial reporting, SEC filings, and the quarterly financial closing process and oversees Accounts Payable through the Controller function

Vice President, Finance – oversees financial planning and analysis, all management financial and operating reporting, budgeting and forecasting, provides input to WSC’s external financial guidance and investor communications

Director, Tax – oversees inter-company capital and tax planning between WSC’s legal entities

Director, Supply Chain – responsible for the financing decisions for the purchase of rolling stock and machinery

Chief Human Resources Officer – responsible for organizing WSC’s environmental, social, and governance roadmap

General Counsel – reviews external communications, advises on compliance and disclosure matters, advises on SEC filings and credit documents, and coordinates external legal counsel

Director, Marketing – coordinates logistics for newswire releases, reviews external communications, supports quarterly earnings call logistics

Qualifications, Skills & Experience The successful candidate will possess:

Minimum of ten (10) years of related experience with a preference for a mix of sellside/buyside public equity, investment banking, and/or public company experience

Bachelor’s degree is required and an MBA and/or CFA designation is strongly preferred.

Professional presence with which to interact and influence internally at all levels of the organization and externally with capital markets participants and investors

Superb verbal and written communication skills with ability to convey complex concepts visually, logically and simply

Ability to utilize and deploy proactive customer relationship management techniques

Ability to lead and coordinate cross-functional teams to execute core responsibilities

Advanced analytical and modeling skills and comprehension of financial reporting

Knowledge of current and emerging trends in investor relations and treasury management

Ability to maintain confidentiality and maintain appropriate discretion

Expert proficiency with Microsoft Office applications (Word, Excel, Outlook and PowerPoint)

Knowledge of WillScot Mobile Mini’s business and strategy and positioning within the broader industrial and business services public company landscape

Abilities and Other Requirements

The ability to perform work in a variety of work environments from a professional office environment to branch environment to customer construction sites is required. Must be able to use standard office equipment such as computers, phones, photocopiers, and fax machines.

In order to successfully perform the essential functions of this job, the employee is regularly required to sit, and to move about the various work environments to train, monitor and ensure compliance with all company sales requirements. The employee must frequently lift and/or move up to 10 pounds and occasionally lift and/or move up to 25 pounds. The employee must be able to verbally communicate with employees, co-workers and customers in person and by phone. The employee must also be able to travel to various work environments. Frequent and extended overnight travel is required. Lastly, the employee must possess a valid driver’s license.
