Job Summary Provides legal advice and counsel to the Connections Health Solutions organization in support of business activities and transactions. Researches and interprets existing laws and regulations and anticipated changes to laws to guide informed decisions and reduce risk. Prepares and reviews various agreements, contracts, and other legal documents. As needed, represents the organization in litigation, negotiations, and other matters where legal counsel is required. Essential Functions

  • Provides expert legal services to subsidiaries and departments, and/or performs special legal assignments of major importance in a highly complex corporate and regulatory environment
  • Works closely with senior executive officers, leadership team and management to advise them on changes in laws and regulations, evaluates their impact, and develop positions on such changes
  • Provides support for real estate transactions and issues, including negotiating and drafting design, build and construction agreements, leases, real estate purchase agreements, and other real estate documents and transaction documents
  • Provides support to the contracting department as needed on complex contracts, contracting disputes, and development of contracting tools
  • Provides support to the risk management department as needed on claims and litigation management
  • Provides internal support for legal proceedings including in-depth understanding of the organization's operations and both internal and external relationships/contracts
  • Prepares and files, as appropriate, documents for the formation and operation of business entities, such as corporations, limited liability companies, etc.
  • Selects, negotiates, monitors, and evaluates external counsel along with associated costs; outsourced matters are limited to specialized areas such as medical malpractice, worker's compensation hearings, judicial commitments, collection actions, labor and employment law action, garnishment actions, benefit plan administration, document preparation or other areas as might be directed by the CEO
  • Provides legal direction regarding transactional structuring, document preparation and negotiation/communication related to acquisitions, joint ventures, operating agreements, and divestitures Supervisory Responsibilities

      • Minimum Qualifications:
      • Juris Doctorate from an accredited law school with current, unrestricted license in (any specific state?)
      • At least 10 years of relevant experience, preferably at least 3 of those serving as in-house counsel
      • Extensive experience in healthcare law and specific expertise in working with large systems including hospital networks and/or Accountable Care Organizations
